1. Agreement to Terms

By accessing or using ToneAdapt ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you may not access the Service.

2. Description of Service

ToneAdapt is a web-based service that provides guitar tone matching and adaptation features. The Service uses artificial intelligence to analyze guitar tones and provide gear-matched settings for amplifiers, guitars, and effects.

3. User Accounts

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information to keep it accurate
  • Maintain the security of your password and identification
  • Accept all responsibility for activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

4. Subscription Plans and Payment

4.1 Subscription Plans

We offer various subscription plans with different features and usage limits. Details of current plans are available on our pricing page.

4.2 Payment Terms

  • Subscriptions are billed in advance on a monthly or annual basis
  • All fees are non-refundable unless required by law
  • Prices are subject to change with 30 days notice
  • Payment is processed securely through Stripe

4.3 Free Trials

We may offer free trials with limited features. Trial periods and limits are subject to change. You may cancel your subscription at any time during the trial period without being charged.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. All sales are final. No refunds will be provided except as required by applicable law.

5. Usage Limits

Your subscription plan includes specific usage limits (e.g., number of adaptations per month). These limits are enforced automatically. Exceeding your plan's limits may result in temporary suspension of service until the next billing period or until you upgrade your plan.

6. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Share your account credentials with others
  • Use the Service to create content that is harmful, offensive, or violates others' rights

7. Intellectual Property

7.1 Our Content

The Service and its original content, features, and functionality are owned by ToneAdapt and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Your Content

You retain ownership of any content you create or upload using the Service. By using the Service, you grant us a license to use, store, and process your content solely for the purpose of providing the Service to you.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, technical issues, or circumstances beyond our control. We are not liable for any damages resulting from Service unavailability.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free. Tone settings and recommendations provided by the Service are suggestions based on available information and should be used as a starting point. Actual results may vary based on your specific gear, room acoustics, and other factors.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TONEADAPT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

11. Indemnification

You agree to defend, indemnify, and hold harmless ToneAdapt and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service will cease immediately.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ToneAdapt operates, without regard to its conflict of law provisions.
